Terms & Conditions
Commercial terms governing the supply of industrial air filtration systems, HEPA/ULPA filters, and controlled environment cleanroom equipment by Filtravo UK.
1. Introduction & Company Details
These Business Terms and Conditions ("Terms") apply to all commercial transactions, sales quotes, contracts, and supply agreements entered into by Filtravo UK ("the Company", "We", "Us") for the provision of industrial air filtration units, HEPA/ULPA filters, cleanroom equipment, Fan Filter Units (FFU), pass boxes, and related technical components to business customers ("Buyer", "Client").
By issuing a purchase order, accepting a quote, or taking delivery of any goods from Filtravo UK, the Buyer agrees to be bound strictly by these Terms, excluding any alternative terms proposed by the Buyer unless explicitly accepted in writing by an authorized representative of Filtravo UK.
2. Scope of Supply & B2B Orders
Filtravo UK strictly operates on a Business-to-Business (B2B) basis. Products supplied are designed for industrial air purification, HVAC containment, pharmaceutical cleanroom suites, healthcare isolation facilities, and manufacturing processes.
- Order Placement: Purchase orders must be submitted in writing via email or through official Filtravo UK quotation portals, specifying part numbers, dimensions, filter efficiencies, and delivery location.
- Order Confirmation: An order is legally binding only upon the issuance of an official written Order Confirmation by Filtravo UK. Automatic email receipts do not constitute formal acceptance.
- Technical Specification Responsibility: The Buyer is responsible for verifying that the technical attributes (e.g., EN 1822 classification, air velocity, initial resistance, dimensions) are suitable for their specific environmental requirements prior to placing an order.
3. Quotations, Pricing & Payment Terms
All pricing provided in quotations or published price lists is subject to the following standard commercial conditions:
- Validity of Quotes: Unless stated otherwise, official written quotes remain valid for thirty (30) days from the date of issue.
- VAT & Taxes: All prices quoted are exclusive of Value Added Tax (VAT), duty, tariffs, freight, or special export packaging unless explicitly itemized on the invoice. Applicable UK VAT will be charged at the prevailing rate.
- Payment Terms:
- Standard Terms: Full advance payment required prior to manufacture or dispatch for standard credit accounts.
- Approved Credit Accounts: Net 30 days from invoice date (subject to credit approval).
- Late Payments: Interest on overdue invoices shall accrue daily under the Late Payment of Commercial Debts (Interest) Act 1998 at 8% above the Bank of England base rate.
4. Custom Orders & Order Modifications
Filtravo UK specializes in custom HEPA/ULPA filter frame dimensions, non-standard gel seal housing configurations, and cleanroom air showers tailored to specific architectural specifications.
Any request to alter technical specifications after order confirmation must be submitted in writing and may incur engineering revision fees and extended delivery lead times.
5. Delivery, Title & Risk
Deliveries within UK Mainland, as well as export shipments, are governed by the following logistical guidelines:
- Delivery Dates: All delivery timeframes provided are estimated in good faith. Time of delivery shall not be of the essence, and Filtravo UK shall not be liable for liquidated damages resulting from logistics delays.
- Transfer of Risk: Risk of damage or loss to the goods passes to the Buyer upon offloading at the Buyer’s designated delivery site or upon collection by the Buyer's carrier.
- Retention of Title: Title and ownership of all supplied equipment shall remain with Filtravo UK until the invoice amount has been paid in full.
- Delivery Inspection: The Buyer must inspect all crates and pallets upon arrival. Any visible outer packaging damage or missing filter units must be noted on the carrier’s Proof of Delivery (POD) document and reported to Filtravo UK within 48 hours of receipt.
6. Returns, Claims & Restocking Policy
Due to the sensitive, contamination-prone nature of air filtration media (such as micro-glass fiber and PTFE membranes), returns are subject to strict quality evaluation:
- Return Authorization: No product returns will be accepted without a prior written Return Material Authorization (RMA) issued by Filtravo UK.
- Standard Unused Stock: Returns of standard catalog items are accepted within 14 days of delivery provided items remain unopened in original protective polythene wrapping. Returned goods are subject to a minimum 20% restocking fee to cover testing and administration.
- Non-Returnable Items: Used filters, opened cleanroom filter media, custom-fabricated units, and damaged items cannot be returned under any circumstances due to health and safety standards.
7. Quality Assurance, Warranties & Compliance
Filtravo UK products are tested in accordance with international cleanroom filtration protocols (EN 1822 / ISO 29463 for HEPA/ULPA filters and ISO 16890 for general ventilation filters).
- Product Warranty: Filtravo UK warrants that all goods supplied shall be free from manufacturing defects in material and workmanship for a period of 12 months from invoice date under normal, recommended operating conditions.
- Warranty Limitations: Warranty claims do not cover premature filter clogging due to environmental dust overload, improper storage/handling, incorrect installation, or failure to follow prescribed filter maintenance intervals.
- Remedies: Filtravo UK's sole obligation under this warranty shall be to repair or replace, at its discretion, any defective product verified upon technical inspection.
8. Limitation of Liability & Force Majeure
To the maximum extent permitted by English law:
- Limitation of Liability: Filtravo UK shall not be liable to the Buyer for any indirect, consequential, or economic loss, including loss of profit, loss of production uptime, or facility downtime arising out of or in connection with the supply of goods. Total aggregate liability shall not exceed the net invoice value of the specific goods giving rise to the claim.
- Force Majeure: Neither party shall be held liable for failure or delay in fulfilling performance obligations if caused by events beyond reasonable control, including natural disasters, acts of government, raw material shortages, supply chain disruptions, port delays, or strike actions.
9. Intellectual Property & Technical Data
All intellectual property rights, trademarks, technical CAD drawings, filtration efficiency calculation models, and promotional content produced by Filtravo UK remain the exclusive property of Filtravo UK.
No portion of website diagrams, technical specifications, or product documentation may be copied, reproduced, or redistributed without express prior written consent.
10. Governing Law & Contact Details
These Terms & Conditions and any non-contractual disputes or claims arising from them shall be governed by and construed in accordance with the laws of England and Wales. Both parties submit to the exclusive jurisdiction of the courts of England and Wales.
